Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Amendment to Amended and Restated Management Continuity Agreements
 
On August 6, 2019, the Board of Directors (“Board”) of Assertio Therapeutics, Inc, a Delaware corporation (the “Company”) approved an amendment (the “Amendment”) to the amended and restated the form of Management Continuity Agreement (the “Management Continuity Agreement”) previously entered into with certain of the Company’s executive officers. Pursuant to the Amendment, in the event an executive officer is subject to an involuntary termination within 90 days prior to or 24 months following a change of control, the executive officer is entitled to receive a lump sum severance payment equal to three times (if the officer is the chief executive officer) or one and a half times (if the officer is not the chief executive officer) the base salary which the officer was receiving immediately prior to the change of control. The form of Management Continuity Agreement is otherwise unchanged by the Amendment.
